ACCIDENT WAIVER, RELEASE OF LIABILITY, AND PARENT/GUARDIAN CONSENT

Event Date: December 5, 2025, December 12, 2025, December 19, 2025, and December 29, 2025
Location: Semper Home Loans Headquarters, 225 Dupont Drive, Providence, Rhode Island (the “Premises”)

This Accident Waiver, Release of Liability, and Parent/Guardian Consent (“Agreement”) applies to all participants attending the above-referenced SHL family holiday event (the “Event”), including adult attendees and any minor children brought to the Event.

By signing below, I acknowledge that I am voluntarily attending and/or participating in the Event and/or bringing my minor child(ren) to the Event, and I agree to the following:

1. Assumption of Risk

I understand that attending and participating in the Event involves inherent risks, including risks arising from my own actions, the actions of others, and conditions of the Premises. These risks include, but are not limited to:

• Slip, trip, and fall hazards related to indoor/outdoor foot traffic, wet floors, temporary carpeting or mats, cords, décor, low lighting, artificial snow residue, uneven surfaces, stairs, thresholds, or weather-related conditions outside.

• Falling or shifting objects including holiday decorations, ornaments, props, staged displays, artificial snow equipment, furniture, lighting, or other items that may fall, tip, malfunction, or break.

• Minor physical contact risks from crowds, lines, excited children, running, bumping, or play.

• Artificial snow/foam effects that may cause slippery surfaces, eye/skin irritation, or respiratory irritation for sensitive persons.

• Hot beverage risks including burns from hot chocolate, coffee, tea, or other warm liquids.

• Food-related risks including choking hazards and allergic reactions (including severe reactions such as anaphylaxis), and risks from cross-contamination.

• Interaction risks from participation in activities, lines, or photos with Santa, performers, props, or staged décor areas.

• Close-contact / lap-sitting with Santa: I understand that Santa photos may involve close physical proximity, including children sitting on Santa’s lap, standing on a platform, or being positioned by Santa or staff. I acknowledge the risk of minor bumps, falls, or discomfort during positioning or while waiting in line.

• Costume/material sensitivities: I acknowledge that Santa’s costume, beard, gloves, props, or seating materials may cause irritation or allergic reaction for sensitive individuals, and I assume all related risks.

• Hygiene / communicable exposure in close contact: I understand that lap-sitting and close contact inherently increase exposure to germs or communicable illnesses, even with reasonable sanitation efforts, and I assume those risks.

• Communicable illness risks from being in a group setting.

• I knowingly and freely assume all such risks, both known and unknown, to the fullest extent permitted by law.

2. General Waiver and Release of Liability

In consideration of being permitted to attend or participate in the Event, I, for myself and on behalf of my spouse/partner, heirs, personal representatives, and assigns, WAIVE, RELEASE, AND DISCHARGE Semper Home Loans (“SHL”), its directors, officers, employees, contractors, volunteers, affiliates, agents, and Event vendors, performers, photographers, caterers, or service providers (collectively, the “Released Parties”) from any and all claims, liabilities, demands, causes of action, damages, or costs of any kind arising from or related to my attendance at or participation in the Event, including use of all areas of the Premises and adjacent parking/sidewalk areas, and travel to/from the Event, whether caused by the negligence of the Released Parties or otherwise, to the fullest extent permitted by Rhode Island law.

This release does not apply to claims arising from gross negligence, reckless conduct, or intentional misconduct of a Released Party.

3. Minor Children — General Coverage, Parent/Guardian Responsibility, and Consent

If I bring any minor child(ren) to the Event, I certify that I am the parent or legal guardian of such minor child(ren), or otherwise have legal authority to sign this Agreement on their behalf.

I understand and agree that this Agreement applies to each and every minor child I bring to or allow to attend the Event with me, whether or not individually identified.

I acknowledge and agree that:

• I am solely responsible for supervising my child(ren) at all times during the Event.

• SHL staff are not providing childcare or supervision.

• Children may not be left unattended at any time. SHL may require an unsupervised child to be reunited with their parent/guardian immediately.

• I assume all risks of injury, illness, or loss for my child(ren), including those listed in Section 1.

• I WAIVE, RELEASE, AND DISCHARGE the Released Parties from any claims on behalf of each minor child(ren) attending with me, including claims arising from negligence, to the fullest extent permitted by law.

• I expressly permit my child(ren) to participate in Santa photos, including close-contact positioning and sitting on Santa’s lap, only at my discretion, and I remain responsible for monitoring my child(ren)’s comfort and safety. I understand my child(ren) may decline or stop participation at any time.

4. Health and Communicable Disease Acknowledgment

I acknowledge that participation in a group event may expose me and/or my child(ren) to communicable diseases. I voluntarily assume all such health risks and agree that SHL is not responsible for illness or related complications arising from Event attendance.

5. Food, Beverages, and Allergy Notice

Food and beverages may be served at the Event, which may contain or come into contact with allergens including but not limited to nuts, dairy, eggs, soy, wheat/gluten, and other ingredients.

I understand and agree that:

• SHL cannot guarantee an allergen-free environment or prevent cross-contamination.

• I am responsible for monitoring my own and my child(ren)’s food intake.

• I assume all risks of allergic reaction or choking.

• I will notify Event staff of any serious allergies that may require emergency attention.

6. Alcohol (If Applicable), Age Requirement, and Safe Travel

Alcohol may be available for consumption at this Event. If I choose to consume alcohol, I confirm I am 21 years of age or older and will provide valid identification upon request. I understand alcohol use is voluntary and at my own risk.

I agree to make safe arrangements for travel to/from the Event and will not drive under the influence. SHL may remove any attendee whose behavior endangers themselves or others.

7. Parking, Travel, and Lost/Stolen/Damaged Property

I acknowledge that the Event includes entry, exit, and movement through SHL’s building, grounds, walkways, sidewalks, and parking areas (collectively, the “Premises”). I understand there may be risks in these areas, including vehicle and pedestrian traffic, uneven surfaces, weather-related conditions, and limited visibility.

I further acknowledge and agree that SHL is not responsible for any lost, stolen, vandalized, or damaged personal property at or around the Event or Premises, including but not limited to:

• vehicles and their contents,

• car seats, strollers, coats, bags, gifts, phones, and other belongings,

• property left in offices, conference rooms, restrooms, or common areas.

I assume all risks of property loss, theft, vandalism, or damage, whether caused by myself, my child(ren), other attendees, or unknown persons, to the fullest extent permitted by law.

8. Indemnification / Hold Harmless

I agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising from my or my child(ren)’s attendance, actions, or omissions at the Event.

9. Medical Consent and Financial Responsibility

I authorize SHL to obtain or render emergency medical care for me and/or my child(ren) if needed. I understand that SHL is not a medical provider and that I am financially responsible for all medical services.

10. Photography, Videography, and Media Consent

I understand that photos and videos may be taken during the Event, including photos with Santa and throughout decorated areas, and that incidental capture in group settings may occur.

I grant SHL permission to photograph, film, or record me and/or my child(ren), and to use such content for internal communications, promotional materials, recruiting, or archival purposes, without compensation, inspection, or approval rights, to the fullest extent permitted by law.

Opt-out: If I do not consent to media use for myself or my child(ren), I will notify Event staff upon arrival and request a visible “no-photo” identifier. I understand SHL will make reasonable efforts to honor such requests but cannot guarantee incidental capture in group settings.

11. Personal Recording and Social Media

Unless expressly permitted by SHL, I will not take personal photos/videos of other attendees or post Event content publicly. I will respect privacy and follow any posted or announced media guidelines.

12. Code of Conduct / Safety / Harassment-Free Event

This Event is intended to be safe and respectful for all participants, including children. Harassment, intimidation, disruptive behavior, unsafe conduct, or inappropriate behavior (including sexual harassment) will not be tolerated. SHL may remove any attendee who violates this policy.

If I experience or witness inappropriate behavior, I will notify the Event organizer, HR Director Jenna Morris, or any SHL staff member.

13. Confidentiality / Non-Disclosure

I agree not to disclose SHL confidential or proprietary information observed or discussed during the Event, including non-public business information.

14. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions will continue in full force and effect.

15. Governing Law and Final Release

This Agreement shall be governed by and interpreted under the laws of the State of Rhode Island. I agree not to file or pursue any claim against the Released Parties for injury, illness, loss, or damage arising from the Event, to the fullest extent permitted by law.

Acknowledgment and Signature

I confirm that:

• I have read and understood this Agreement.

• I understand I am giving up legal rights by signing it.

• I am at least eighteen (18) years old.

• If signing for minor children, I am their parent/legal guardian and have authority to sign for all minor child(ren) attending with me.

* Waiver Required: Signing the Event Waiver at arrival is a mandatory condition of entry and participation. Attendees who do not sign will not be admitted and may be asked to leave immediately. Parents/guardians must remain with and supervise children at all times. Food/hot beverages and artificial snow/décor will be present; please watch for minor slip/trip hazards and consider allergies. SHL is not responsible for lost/stolen property or vehicle damage in the parking area. Photos/video may be taken; opt out at check-in if needed.
